Welcome to ZOOGABOOG! These Terms of Service ("Terms") govern your use of our platform, products, and services. By creating an account or using ZOOGABOOG!, you agree to these Terms. If you don't agree, please don't use our platform.

TL;DR: Use our platform responsibly, respect intellectual property, pay for what you order, and we'll deliver exceptional service while connecting you with quality vendors. Let's build something great together.

1. What ZOOGABOOG! Is

ZOOGABOOG! is a vendor marketplace aggregator platform that connects small business owners with qualified vendors for printing, apparel, signage, websites, marketing, and design services. We provide:

• Unified Platform: Browse products/services, compare vendors, and place orders from one dashboard
• AI-Powered Design Tools: LiveDesign™ for instant customization and visualization
• Instant Quotes: Real-time pricing from multiple vendors
• Order Management: Track projects, communicate with vendors, manage deliveries
• Quality Assurance: Curated vendor network with performance monitoring

2. Account Registration & Eligibility

• Age Requirement: You must be 18+ years old to use ZOOGABOOG!
• Accurate Information: Provide truthful, current, and complete information during registration
• Account Security: You're responsible for maintaining the confidentiality of your password and all activity under your account
• One Account Per Business: Don't create multiple accounts to manipulate pricing, reviews, or platform features
• Business Use: ZOOGABOOG! is designed for commercial use by businesses and organizations (though individuals are welcome)

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the platform.

3. Pricing, Payments & Fees

Platform Access

ZOOGABOOG! is FREE to browse, explore, and quote. No subscriptions, no monthly fees, no hidden charges. You only pay when you place an order.

Commission Structure

When you place an order through ZOOGABOOG!, the total price includes:

• Base Cost: The vendor's production cost
• ZOOGABOOG! Commission: A percentage-based fee for platform services, payment processing, client support, and technology infrastructure
• Transparent Pricing: The total price displayed at checkout is final (no surprise fees)

Payment Terms

• Payment Due: Payment is processed immediately upon order placement
• Accepted Methods: Visa, Mastercard, American Express, Discover, PayPal
• Failed Payments: Orders won't be processed until payment clears; repeated failed payments may result in account restrictions
• Invoices: Available in your account dashboard after each transaction

Refunds & Cancellations

• Pre-Production: Cancel anytime before production starts for a full refund
• During Production: Cancellations may incur partial charges based on work completed
• Quality Issues: If the delivered product doesn't meet specifications, we'll work with the vendor on a reprint, refund, or credit
• Refund Timeline: Approved refunds processed within 5-10 business days

4. Intellectual Property & Design Ownership

Your Content

You own your designs, logos, images, and content. By uploading files to ZOOGABOOG!, you grant us a limited, non-exclusive license to:

• Display your designs in our platform for order fulfillment
• Share your files with selected vendors to produce your order
• Store your designs for reorders and portfolio management
• Use anonymized/aggregated design data to improve AI tools (no specific designs shared publicly without permission)

Your Responsibilities

• Ownership: You represent that you own or have rights to all content you upload
• No Infringement: Don't upload copyrighted images, trademarked logos, or protected content without permission
• Liability: You're responsible for any intellectual property violations; we'll cooperate with legal claims against infringing content

ZOOGABOOG! Platform

The ZOOGABOOG! name, logo, platform design, AI tools, code, and proprietary technology are our intellectual property. You may not copy, reverse-engineer, scrape, or redistribute our platform without written permission.

AI-Generated Content

AI-generated designs or suggestions are provided for creative assistance only and may include errors or artifacts. Our LiveDesign™ tool, automated previews, and AI-powered recommendations are designed to streamline your workflow, but they're not perfect. You are responsible for reviewing and approving all final designs before production. ZOOGABOOG! is not liable for any issues arising from AI-generated content that you approve for production.

5. Vendor Relationships & Order Fulfillment

Vendor Independence

Vendors on ZOOGABOOG! are independent businesses, not our employees or agents. We curate our vendor network for quality, but vendors control their production processes, materials, and fulfillment.

Our Role

• Matching: We connect you with vendors who meet your specifications
• Facilitation: We provide the platform for ordering, communication, and payments
• Quality Monitoring: We track vendor performance (on-time delivery, quality ratings, client feedback)
• Dispute Resolution: We mediate issues between clients and vendors
• Issue Escalation: Vendors with consistent problems may be removed from our network

Timelines & Delivery

Estimated delivery dates are provided by vendors and are estimates, not guarantees. Delays may occur due to production complexities, shipping issues, or unforeseen circumstances. We'll keep you updated and work with vendors to expedite when possible.

Quality & Reprints

If your order arrives damaged, defective, or doesn't match specifications, contact us within 7 days of delivery. We'll coordinate a reprint or resolution with the vendor at no additional cost (if the error is the vendor's fault).

6. User Conduct & Fair Use

Acceptable Use

You agree to use ZOOGABOOG! only for lawful, legitimate business purposes and not in a manner that could harm our reputation, partners, or users. This includes:

• Using the platform to create and order products/services for your business or organization
• Respecting vendor relationships and treating all parties professionally
• Providing accurate information and honest feedback
• Following industry standards and ethical business practices

Prohibited Uses

You may NOT use ZOOGABOOG! to:

• Violate any laws, regulations, or third-party rights
• Upload illegal, obscene, defamatory, or harmful content
• Infringe on intellectual property (copyrights, trademarks, patents)
• Harass, threaten, or abuse vendors, staff, or other clients
• Scrape, data-mine, or reverse-engineer our platform
• Create fake accounts, manipulate reviews, or game the system
• Introduce viruses, malware, or malicious code
• Resell or redistribute ZOOGABOOG! platform services without authorization
• Impersonate ZOOGABOOG!, our staff, or falsely claim affiliation
• Use LiveDesign™ outputs or platform tools in deceptive advertising
• Use the platform for spam, phishing, or fraudulent activity

Violations may result in immediate account suspension, order cancellation, and legal action if necessary.

7. Platform Modifications & Service Availability

We're constantly improving ZOOGABOOG! to deliver better features, performance, and value. As such:

• We may modify, suspend, or discontinue parts of the ZOOGABOOG! platform at any time, with or without notice
• We're not liable for any loss resulting from such changes, including lost data, interrupted projects, or feature removals
• Scheduled maintenance may temporarily limit access; we'll notify you when possible
• We reserve the right to change pricing, commission rates, or vendor networks as needed (existing orders honored at original pricing)

We'll make reasonable efforts to communicate significant changes in advance, but innovation sometimes requires quick pivots. Your continued use after changes take effect means you accept them.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ZOOGABOOG! is provided "AS IS" without warranties of any kind (express or implied)
• We don't guarantee uninterrupted, error-free, or secure platform operation
• We're not liable for vendor performance, product quality, or delivery delays
• Our total liability is limited to the amount you paid for the specific order in question
• We're not liable for indirect, incidental, consequential, or punitive damages (lost profits, business interruption, data loss)

9. Force Majeure

We're not liable for delays or failures caused by events beyond our reasonable control, including but not limited to:

• Natural disasters (fires, floods, earthquakes, hurricanes, pandemics)
• Acts of government (regulations, embargoes, sanctions, lockdowns)
• Labor disputes, strikes, or supply chain disruptions
• War, terrorism, civil unrest, or public emergencies
• Internet outages, cyberattacks, or infrastructure failures
• Vendor failures, material shortages, or shipping delays

In such cases, we'll make reasonable efforts to minimize disruption and keep you informed. Performance timelines may be extended by the duration of the force majeure event.

10. Indemnification

You agree to indemnify and hold ZOOGABOOG!, its owners, employees, and partners harmless from any claims, damages, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your content (designs, images, logos) infringing on third-party rights
• Your use or misuse of the platform
• Your interactions with vendors or other clients

11. Dispute Resolution & Arbitration

Informal Resolution First: If you have a dispute, contact us at support@zoogaboog.com. We'll work in good faith to resolve it within 30 days.

Binding Arbitration: If we can't resolve the dispute informally, you agree to binding arbitration (not court litigation) under the rules of the American Arbitration Association (AAA). Arbitration will be conducted in Orange County, California, unless both parties agree otherwise in writing. The arbitration is conducted by a single arbitrator, and the arbitrator's decision is final and binding on both parties.

Class Action Waiver: You agree to resolve disputes individually, not as part of a class action, collective action, or representative proceeding. This waiver applies to any claims, regardless of venue.

Small Claims Court: Either party may pursue claims in small claims court in Orange County, California, if they qualify under jurisdictional limits.

Costs: Each party pays their own arbitration costs and attorney fees unless the arbitrator awards costs to the prevailing party. We'll cover AAA filing fees for consumer disputes under $75,000.

12. Electronic Communications & Notices

By using ZOOGABOOG!, you consent to receive service-related communications electronically, including:

• Order Updates: Confirmations, production status, shipping notifications
• Legal Notices: Changes to Terms, Privacy Policy, or other agreements
• Security Alerts: Suspicious activity, password resets, account changes
• Platform Announcements: New features, maintenance schedules, service updates
• Billing: Invoices, payment confirmations, receipt records

These communications may be sent via email, SMS (if you provide a phone number), in-app notifications, or dashboard alerts. You agree that electronic communications satisfy any legal requirement for written notices.

Marketing Opt-Out: You can opt out of promotional emails anytime (but you'll still receive transactional/service-related communications).

13. Changes to These Terms

We may update these Terms to reflect new features, legal requirements, or operational changes. We'll notify you of significant changes via email or platform notice. The "Last Updated" date indicates the most recent revision. Continued use after changes take effect means you accept the updated Terms.

14. Termination

You Can Leave: Close your account anytime in your settings. Outstanding orders will still be fulfilled.

We Can Terminate: We may suspend or terminate accounts that violate these Terms, abuse the platform, engage in fraud, or harm the ZOOGABOOG! community. We'll provide notice when feasible, but reserve the right to terminate immediately for severe violations.

15. Miscellaneous

• Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any litigation (if arbitration is waived or unavailable) must be brought in state or federal courts in Orange County, California.
• Entire Agreement: These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ZOOGABOOG!
• Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect
• No Waiver: Our failure to enforce any provision doesn't waive our right to enforce it later
• Assignment: You can't transfer your account or obligations without our consent; we may assign our rights to a successor entity (merger, acquisition, etc.)
• Headings: Section headings are for convenience only and don't affect interpretation
• Survival: Sections regarding intellectual property, indemnification, liability limitations, and dispute resolution survive termination
